These Terms of Service ("Terms") govern your access to and use of the website and services provided by Rank Up LLC ("Rank Up," "we," "us," or "our"), including our SEO audits, technical optimization, content strategy, and ongoing SEO management services (collectively, the "Services"). By accessing our website or engaging our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing our website, submitting a free website analysis request, or signing up for any Rank Up plan, you confirm that you are at least 18 years old (or the age of majority in your jurisdiction) and have the authority to enter into this agreement on behalf of yourself or the business you represent.

2. Description of Services

Rank Up provides SEO and digital growth services, including but not limited to: technical SEO optimization, Google indexing solutions, organic traffic growth strategy, content and keyword strategy, website SEO audits, local SEO optimization, website recovery, and ongoing SEO maintenance. The specific deliverables included depend on the plan you select (Starter, Growth, Pro, Agency, or Enterprise) and any custom agreement signed between you and Rank Up.

3. No Guarantee of Rankings

SEO results are influenced by factors outside of Rank Up's control, including search engine algorithm changes, competitor activity, industry conditions, and the technical state of your website prior to engagement. Rank Up does not guarantee specific search engine rankings, traffic numbers, or revenue outcomes. We commit to using current best practices, transparent reporting, and white-hat strategies consistent with search engine guidelines.

4. Client Responsibilities

To deliver our Services effectively, you agree to:

• Provide timely access to your website, hosting platform, Google Search Console, Google Analytics, and other relevant tools as needed
• Provide accurate information about your business, goals, and any prior SEO work or penalties
• Review and approve content, technical changes, or strategy recommendations in a timely manner
• Not engage other agencies or freelancers to perform conflicting or duplicate SEO work on the same website during an active engagement without notifying us
• Make payments according to the agreed schedule

5. Plans, Billing, and Payment

Plans are billed monthly, every 6 months, or annually, depending on the option selected at signup. By providing payment information, you authorize Rank Up to charge the applicable fees on a recurring basis until the plan is canceled. All fees are non-refundable except as required by law or as explicitly stated in a separate written agreement. Prices are subject to change with 30 days' notice for existing subscribers.

6. Cancellation

Monthly plans may be canceled at any time, effective at the end of the current billing cycle, with no further charges. 6-month and annual plans are billed for the selected term; cancellation requests for these plans will take effect at the end of the committed term unless otherwise agreed in writing. 7. Intellectual Property

Rank Up retains ownership of its proprietary methodologies, audit frameworks, tools, and internal processes. Content, code, or assets created specifically for your website as part of a paid engagement become your property upon full payment, unless otherwise specified in a separate agreement. You retain ownership of your website, brand assets, and existing content.

8. Acceptable Use

You agree not to use our website or Services for any unlawful purpose, to misrepresent your identity, to infringe on the intellectual property of others, or to request that Rank Up engage in black-hat SEO practices, including link schemes, cloaking, content scraping, or any tactic designed to manipulate search rankings in violation of search engine guidelines. We reserve the right to decline or terminate engagements that involve such requests.

9. Limitation of Liability

To the fullest extent permitted by law, Rank Up LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising from your use of our Services. Our total liability for any claim related to the Services shall not exceed the amount paid by you to Rank Up in the three (3) months preceding the claim.

10. Disclaimer of Warranties

Our Services are provided "as is" and "as available." Rank Up makes no warranties, express or implied, regarding the Services, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our Services will result in uninterrupted, error-free, or specific search engine outcomes.

11. Indemnification

You agree to indemnify and hold harmless Rank Up LLC, its officers, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your misuse of our Services, or content you provide that infringes the rights of a third party.

12. Termination

Rank Up reserves the right to suspend or terminate your access to our Services at any time for violation of these Terms, non-payment, or engagement in activities that could harm our business or reputation. Upon termination, your right to use the Services will immediately cease.

13. Governing Law

These Terms are governed by the laws of the United States and the state in which Rank Up LLC is registered, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of that jurisdiction, unless otherwise required by applicable consumer protection law in your country of residence.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or a notice on our website. Continued use of our Services after changes take effect constitutes acceptance of the revised Terms.
